Terms of Service

1. Acceptance of Terms

By accessing or using Duel It Out ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms apply to all users, including visitors, registered users, and subscribers.

2. Eligibility

You must be at least 16 years old to use the Platform. By creating an account, you represent and warrant that you are at least 16 years of age and that you have the full power and authority to enter into these Terms. If you are under 16, you may not use the Platform under any circumstances.

3. Account Registration & Security

• You must provide accurate, current, and complete information during registration and keep this information updated.
• You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account or any other security breach.
• We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.
• You may not create multiple accounts or transfer your account to another person.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any way that violates applicable local, national, or international law or regulation.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Manipulate match results, tournament brackets, or statistics through fraudulent, collusive, or deceptive conduct.
• Create fake accounts, bots, or automated scripts to interact with the Platform.
• Harass, abuse, threaten, intimidate, or harm other users.
• Upload or share content that is defamatory, obscene, offensive, hateful, or discriminatory.
• Attempt to gain unauthorized access to the Platform, user accounts, or computer systems.
• Interfere with or disrupt the Platform, servers, or networks connected to the Platform.
• Use any data mining, robots, scraping, or similar data gathering methods.
• Reverse engineer, decompile, or disassemble any aspect of the Platform.

5. User Content

You retain ownership of any content you submit, post, or display on the Platform ("User Content"), including match results, tournament data, profile information, and messages. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and improving the Platform. You represent and warrant that your User Content does not infringe the rights of any third party.

6. Public Nature of Match Data

Match results, tournament brackets, statistics, and leaderboard rankings are visible to all users of the Platform and may be publicly accessible. By recording matches and participating in tournaments, you consent to the public display of this information. If you do not wish for your match data to be public, you should not use the Platform.

8. Free Plan Limitations

The Free plan includes limited features as described on our Pricing page. We reserve the right to modify the features, limits, and functionality available under the Free plan at any time. Free accounts may be subject to reasonable usage limits.

9. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, including for violation of these Terms. Upon termination:

• Your right to access the Platform immediately ceases.
• We may delete or anonymize your personal data in accordance with our Privacy Policy.
• Any prepaid fees are non-refundable, except as required by applicable law.
• Sections of these Terms that by their nature should survive termination shall survive (including disclaimers, limitations of liability, and dispute resolution provisions).

10. Intellectual Property

The Platform, including its design, code, graphics, logos, and trademarks, is owned by Duel It Out and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent. The name "Duel It Out" and related logos are our trademarks.

11. Third-Party Services

The Platform integrates with third-party services including Stripe (payment processing), Resend (email delivery), and AWS (image storage). We are not responsible for the practices of these third parties. Your use of these services is subject to their respective terms and privacy policies.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE PLATFORM AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DUEL IT OUT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Duel It Out, its directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16. Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved within 60 days, it shall be submitted to the exclusive jurisdiction of the courts of Copenhagen, Denmark. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or confidential information.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after the effective date of the changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Platform and cancel your account.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while reflecting the original intent as closely as possible.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Duel It Out regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral.
